1. Eligibility & Account Integrity

• Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to place an order or create an account. By purchasing, you represent and warrant that you possess the legal capacity to enter into a binding contract. We do not knowingly collect personal information from individuals under 18. If we become aware that a minor has placed an order, we reserve the right to cancel the transaction and delete associated personal data.
  
  
• Account Credentials: If you create a customer account, you are solely responsible for maintaining the confidentiality of your credentials and restricting unauthorized access to your devices. You accept responsibility for all transactions initiated under your account.
  
  
• Accuracy of Information: You agree to provide current, complete, and accurate purchase, delivery, and account details for all transactions completed through the Site.

3. Orders, Pricing, Payment Terms & Exclusive Remedy

• Pricing & Currency: All prices displayed on the Site are stated in United States Dollars (USD). We reserve the right to revise pricing, promotional bundles, or shipping thresholds at any time without prior notice. Price revisions will not affect orders that have already received an automated order confirmation.
  
  
• Order Acceptance: Receipt of an electronic order confirmation does not constitute our legal acceptance of an order or a confirmed offer to sell. Serrane Labs reserves the right, at our sole discretion, to limit order quantities, decline orders, or cancel transactions for reasons including product unavailability, billing discrepancies, pricing errors, or suspected unauthorized commercial resale.
  
  
• Payment Processing: Transactions are processed via secure, PCI-compliant third-party payment gateways (including Shopify Payments, Shop Pay, Apple Pay, and major credit card networks). You authorize us and our third-party processors to charge your designated payment method for all order totals, applicable sales taxes, and shipping fees. Payment data is processed and stored exclusively by our third-party processors; Serrane Labs does not store raw payment card numbers or banking credentials on our servers.
  
  
• Sales Tax: Applicable state and local sales taxes will be calculated and collected at checkout based on the delivery destination in accordance with statutory US tax regulations.
  
  
• Formulation Guarantee & Exclusive Remedy: Satisfaction with the sensory profile, routine integration, or cosmetic performance of SRN-5™ is governed exclusively by our 30-Day Formulation Guarantee as set forth in our Shipping, Return & Refund Policy. You agree that your sole and exclusive monetary remedy for dissatisfaction with our product formulation is limited to a one-time refund not to exceed $79.00 USD, or the actual net purchase price paid at checkout if discounts or coupons reduced the total below that amount, whichever is less. Under no circumstances will refund disbursements exceed the gross funds actually collected for the transaction. This guarantee applies strictly to a client's initial order on the Site.
  
  

4. Domestic Fulfillment, Title & Risk of Loss

• Fulfillment Origin: All merchandise is warehoused, packed, and tendered to carriers from our domestic logistics facility located in the State of Colorado, United States.
  
  
• Title & Risk of Loss: Title and risk of physical loss pass to you upon our delivery of the parcel to the designated domestic carrier (such as USPS, UPS, or FedEx).
  
  
• Lost Shipments: In the event of a confirmed lost shipment—where carrier telemetry shows no delivery scan and the carrier has concluded its formal investigation—contact support@serranelabs.com with your order number and tracking details. We will process an immediate carrier trace, replacement, or refund per verified carrier status.
  
  
• Shipping Windows & Address Accuracy: Quoted delivery timeframes (e.g., 3–5 business days) are carrier estimates and do not represent guaranteed arrival dates. Serrane Labs is not liable for carrier transit exceptions, weather disruptions, or delivery issues resulting from inaccurate or incomplete shipping information submitted at checkout.
  
  

5. Intellectual Property & Commercial Restrictions

• Proprietary Rights: The Site and its entire contents—including trademarks, trade dress, the brand name "Serrane Labs," product identifiers ("SRN-5™," "SRN-5™ Complex"), formulation descriptions, clinical copy, imagery, graphics, and underlying software code—are the proprietary intellectual property of Serrane Labs and are protected under United States and international intellectual property laws.
  
  
• Commercial Restrictions: Products purchased through serranelabs.com are intended strictly for personal, non-commercial use. You may not resell, distribute, export, or commercially exploit any Serrane Labs merchandise without prior written authorization. We reserve the right to cancel orders suspected of unauthorized secondary marketplace resale (including but not limited to Amazon, eBay, or Walmart Marketplace) and to restrict future purchasing access for associated accounts.
  
  

6. Prohibited Uses of the Site

• Violate any local, state, federal, or international law or regulation.
  
  
• Transmit or propagate malware, viruses, web scrapers, harvesting bots, or unauthorized automated extraction tools.

7. Disclaimer of Warranties

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  
  
• Warranties regarding specific biological hair retention rates, shedding cessation timelines, follicular regeneration, or visible cosmetic outcomes.
  
  
• Warranties that the Site will operate uninterrupted, secure, or entirely free of software errors or technical interruptions.
  
  

8. Limitation of Liability

• Indirect, incidental, special, consequential, or punitive damages.
  
  
• Lost profits, personal inconvenience, reliance on educational site content, or dermal reactions resulting from product misuse, failure to execute a 24-hour patch test, or application inconsistent with stated directions.
  
  

9. Indemnification

• Your violation of these Terms or incorporated policies.
  
  
• Your use or topical application of SRN-5™ outside of the explicit guidelines provided on the product packaging and Site.
  
  
• Your infringement of any intellectual property, proprietary, or privacy right of a third party.
  
  
• Your breach of any applicable statutory law or regulation.
  
  

10. Dispute Resolution, Class Action Waiver & Chargeback Accord

• Informal Resolution First: Prior to pursuing formal legal avenues, you and Serrane Labs agree to attempt dispute resolution informally. You must deliver a written description of the dispute and your requested remedy to support@serranelabs.com. We will make reasonable, good-faith efforts to resolve the matter within thirty (30) calendar days of receipt.
  
  
• Formal Resolution: If informal resolution is unsuccessful after 30 days, disputes shall be resolved exclusively through the state or federal courts located within the State of Colorado, as specified in Section 12.
  
  
• Small Claims Exception: Nothing in this section restricts either party from filing an individual action in a small claims court of competent jurisdiction for claims within that court’s statutory limits.
  
  
• Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SERRANE LABS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. No adjudicator or court may consolidate more than one person's claims or preside over any form of representative proceeding.
  
  
• Accord, Satisfaction & Chargeback Waiver: Acceptance of any refund issued under our 30-Day Formulation Guarantee or via customer care constitutes a full, final, and binding release and settlement of all claims regarding the applicable transaction ("accord and satisfaction"). You expressly agree not to initiate a payment dispute or chargeback with your financial institution or card issuer following the receipt of an agreed guarantee refund. In the event of an unauthorized or contradictory chargeback initiated following a processed refund, Serrane Labs reserves the right to submit these Terms, delivery telemetry, and written settlement records to the issuing banking network to contest the dispute, and to recover any administrative dispute fees permitted by law.

• Governing Law: These Terms, and all claims, controversies, or disputes arising out of or related to your transactions with Serrane Labs, shall be governed by, construed, and enforced in accordance with the laws of the State of Colorado, United States, without giving effect to conflict of law principles.
  
  
• Jurisdiction: Any formal legal proceedings arising from or relating to these Terms shall be instituted exclusively in the state or federal courts situated in Colorado, and you consent to the personal jurisdiction of such courts.

• Severability: If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by an authoritative court of competent jurisdiction, that specific provision shall be deemed severed, and such determination shall not affect the validity or enforceability of the remaining provisions.
  
  
• Entire Agreement: These Terms, together with our Privacy Policy and Shipping, Return & Refund Policy, constitute the complete and exclusive agreement between you and Serrane Labs regarding your use of the Site and purchase of our products, superseding all prior oral or written discussions, agreements, or representations.
